Dangote Refinery extends IPO offer to October 27, targets $2.1bn
Nigeria’s Dangote Petroleum Refinery and Petrochemicals has extended the application period for its initial public offering (IPO) by two weeks to October 27, following strong investor interest and efforts to widen participation across Africa.
The company disclosed on Monday that the Securities and Exchange Commission (SEC) had approved the extension of the offer, which opened on September 14 and was initially scheduled to close on October 13.
The extension is intended to give prospective investors more time to complete account-opening procedures, identity verification and other regulatory requirements necessary to participate in the share sale.
The refinery also said the additional period would support efforts to expand access to the offer in other African countries through wider distribution channels and cross-border investment opportunities.
Owned by Africa’s richest man, Aliko Dangote, the 700,000-barrel-per-day refinery is seeking to broaden ownership of the facility through an offer targeting up to 10 million retail investors in Nigeria and other African countries.
The IPO aims to raise about $1.6 billion, with proceeds potentially reaching $2.1 billion if the over-allotment option is exercised. The funds are expected to support the expansion of the refinery complex in Lagos.
However, the offer faces challenges in reaching investors beyond Nigeria, as the prospectus indicates that the share sale is not registered as a public offering in other countries. Investors outside Nigeria must therefore rely on applicable local regulations and eligible investment platforms to participate.
The extension highlights the importance of distribution channels, regulatory compliance and investor access in the refinery’s ambition to attract retail shareholders across the continent.
The offer is also seen as a significant test of African retail investors’ appetite for ownership in a major industrial asset, as companies seek to deepen capital markets and encourage wider participation in large-scale investments.
The Dangote Refinery, which began processing crude oil in early 2024, is central to Nigeria’s efforts to reduce dependence on imported petroleum products and strengthen its position as a potential exporter of refined fuels.
Its expansion is expected to increase the facility’s capacity to serve domestic and international markets, while the IPO offers investors an opportunity to participate in the ownership of one of Africa’s largest refining complexes.
The extension provides additional time for investors to assess the offer and complete the procedures required to subscribe before the revised October 27 deadline.
